Affiliate Program Agreement

This Affiliate Program Agreement (the “Agreement”) is entered into by and between Agent 4 Agent Tools (“A4A,” “we,” “us,” or “our”) and you (the “Affiliate” or “you”). By applying to, being approved for, or participating in the Agent 4 Agent Tools Affiliate Program (the “Program”), you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

1. Program Overview

The Program allows licensed Medicare insurance agents and other approved partners to promote Agent 4 Agent Tools digital products — including PlanCompare Pro and related toolkits — using a unique promotional (“promo”) code assigned to the Affiliate. When a buyer completes a qualifying purchase using the Affiliate’s promo code, the Affiliate earns a commission on that sale, as described in Section 4.

2. Enrollment & Approval

• Enrollment in the Program is by application only. A4A reviews each application and, in its sole discretion, may approve, reject, or revoke any Affiliate at any time.
• Approval grants the Affiliate a unique promo code that provides buyers a discount and attributes referred sales to the Affiliate for commission tracking.
• A4A may request additional information, including proof of insurance licensure, before or after approval. Providing false or misleading information is grounds for immediate termination.
• The Affiliate acknowledges that approval does not constitute an employment relationship, agency, partnership, or joint venture (see Section 10).

3. Affiliate Obligations & Marketing Guidelines

The Affiliate agrees to promote A4A products ethically, accurately, and in compliance with all applicable laws and regulations. In promoting the Program, the Affiliate shall:

• Represent A4A products honestly and without exaggerated or unsubstantiated claims about benefits, pricing, or outcomes.
• Not imply endorsement by, or affiliation with, any insurance carrier, CMS, or government agency beyond what A4A expressly authorizes in writing.
• Use only the promo code, referral link, and marketing assets provided or approved by A4A.
• Refrain from bidding on A4A branded keywords (including “Agent 4 Agent Tools,” “PlanCompare Pro,” and variations) in paid search or advertising without written consent.
• Disclose the Affiliate’s relationship with A4A where required by law or platform policy (for example, the FTC’s guidance on endorsement disclosures).
• Not engage in spam, unsolicited mass messaging, or any marketing that violates the rules of the platform on which it is posted.

4. Commission Structure & Payout

• The default commission rate is 10% of the net sale amount (excluding taxes, refunds, and chargebacks) on qualifying purchases attributed to the Affiliate’s promo code. A4A may assign a different rate to a specific Affiliate by mutual agreement.
• The default buyer discount applied by the promo code is 10%. A4A may issue bonus or milestone promo codes with different discounts or usage limits from time to time.
• Commissions are tracked and calculated at the time a purchase is confirmed as paid. Refunded, charged-back, or canceled orders do not generate a commission, and any commission already recorded on such an order may be voided.
• Commissions accrue in a “pending” status until paid out by A4A. A4A will process payouts on a schedule it determines, and the Affiliate is responsible for ensuring payout instructions and tax information are accurate and current.
• The Affiliate is solely responsible for any taxes owed on commissions earned. A4A may issue tax documentation as required by law.

5. Medicare Marketing Compliance

Because A4A products are used by Medicare insurance agents, the Affiliate’s marketing of the Program must comply with all applicable Centers for Medicare & Medicaid Services (CMS) Medicare Communications and Marketing Guidelines, as well as state insurance regulations. The Affiliate agrees that:

• The Affiliate is solely responsible for holding and maintaining any insurance license required to market or sell Medicare products in the jurisdictions in which the Affiliate operates.
• A4A’s tools are comparison and productivity resources; they are not a substitute for the Affiliate’s own compliance review of plan data, marketing materials, or client communications.
• The Affiliate will not market A4A products in a manner that implies A4A is a Medicare Advantage or Part D plan, a carrier, or a government entity.
• The Affiliate will not use A4A product data or outputs in any way that violates CMS marketing rules, including prohibited door-to-door marketing, unsolicited contact, or misleading benefit comparisons.
• A4A may remove or restrict any marketing asset, promo code, or Affiliate found to be in violation of CMS guidelines or applicable law.

6. Promo Code Usage

• The Affiliate’s promo code is intended for use by buyers the Affiliate has genuinely referred. The Affiliate may not self-refer, use the code on their own purchases, or apply it to sales not attributable to the Affiliate’s promotion.
• Promo codes may not be distributed on coupon-aggregator sites or public discount repositories without A4A’s written consent.
• A4A reserves the right to deactivate, modify, or limit any promo code, including bonus codes, at any time, including for abuse, inactivity, or changes to the Program.

7. Intellectual Property

A4A retains all right, title, and interest in its brand, product names, logos, data, and marketing assets. The Affiliate receives a limited, revocable, non-exclusive license to use approved A4A marks and assets solely for the purpose of promoting the Program during the term of this Agreement. The Affiliate will not modify, rebrand, or misrepresent A4A assets, and will cease all use of A4A intellectual property upon termination.

8. Data & Privacy

The Affiliate’s use of A4A dashboards, referral data, and commission reports is governed by the A4A Privacy Policy. The Affiliate agrees not to scrape, harvest, or misuse buyer or platform data, and to protect any credentials or access provided by A4A.

9. Term & Termination

• This Agreement begins on the Affiliate’s approval and continues until terminated by either party.
• Either party may terminate this Agreement at any time, with or without cause, by written notice (email suffices).
• A4A may suspend or terminate an Affiliate immediately for breach of this Agreement, fraud, abuse of the promo code system, or conduct that harms A4A or its customers.
• Upon termination, the Affiliate’s promo code is deactivated, no new commissions accrue, and any pending commissions may be paid or voided at A4A’s discretion based on the reason for termination.

10. Independent Contractor Status

The Affiliate is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. The Affiliate is not authorized to bind A4A to any obligation and has no authority to act on A4A’s behalf except as expressly stated here.

11. Limitation of Liability & Disclaimers

• A4A products and plan data are provided “as is” without warranties of any kind. A4A does not guarantee that the Program will be uninterrupted, error-free, or that any particular volume of referrals or commissions will result.
• To the maximum extent permitted by law, A4A’s total liability under this Agreement shall not exceed the total commissions actually paid to the Affiliate in the 12 months preceding the claim.
• The Affiliate agrees to indemnify and hold harmless A4A from claims, damages, or regulatory action arising from the Affiliate’s marketing conduct, licensing failures, or breach of this Agreement.

12. Modifications

A4A may update this Agreement from time to time. The current version will always be posted at this page. Continued participation in the Program after a change takes effect constitutes acceptance of the updated terms. Material changes will also be communicated to active Affiliates by email when practical.

13. Governing Law & Contact

This Agreement is governed by the laws of the jurisdiction in which A4A operates, without regard to conflict-of-laws principles. Questions about this Agreement or the Program can be directed to A4A through the support channel available in the app.
